Among successful entrepreneurs is common to hear: “you must always expect the best but be prepared for the worst.” Discover the importance of basic contracts and agreements throughout the company and protect SMEs against any eventuality.

If you have attended for a considerable period “school of life”, will agree with me that things do not always happen the way you plan. For whatever circumstances, contingencies seem to be right around the corner. This is no different in business, where it is common to find differences between the partners, problems with the shop owner, disputes with or among employees, customers do not pay, returned checks, contractors with poor quality and so on. In this sense, it becomes imperative that all companies (and even the small one) has the appropriate legal mechanisms that allow them within the framework of the law, defend its interests against any eventuality.

And let me insist, is even more important for SMEs, where it is very common for a single transaction unfortunate jeopardize the assets of the company as well as their own. That’s why we explain below which are the 7 major contracts and can not do without, and a general macho each, which will guide you to suit your needs, or turn your SME. The 7 contracts that all SMEs should be in business relationships are unchanged and countless other legal acts can be held, in which virtue, minimum seven contracts all SMEs should have are:

1. Articles of incorporation. The social contract that gives life to the company and it is important to know under what form will constitute your SME, depending on the predominant activity that will develop, the partners that will make up, etc., because of According to the general law of corporations depend, among other things, the tax treatment, legal rights and obligations of the company and its partners. See contract …

2. Lease. If your company is established in the building of a third, we need a lease of real property: first, because it serves as home for the enforcement of our rights and obligations and secondly (and most This important contract), it serves to define the rights and obligations we have as tenants, ie who has the rights of possession of a property which we do not own. See contract …

3. Individual employment contract. It is essential that there be an individual employment contract of legal certainty to both the employer and the worker, which primarily serves to delimit the working conditions of workers employed by the employer. Having this contract is vitally important because our labor law favors workers in case of a dispute, the burden of proof is always on trial for the employer, ie the pattern to the Board of Conciliation and Arbitration must demonstrate that the facts asserted by the employee are not true. For example, if an employee claims that his salary is $ 1,000.00 per day, corresponding to the employer to prove that his salary was not so much, or another more common example: a worker may manifest in his lawsuit that began working for the employer on 2 January 1990, when in fact went to work on January 2, 2000, a fact that the employer must prove it. See contract …

4. Contract of sale. Undoubtedly for marketing goods or services of our corporation, we must enter into contracts of sale. This contract serves mainly to define the conditions under which they are to dispose of our products because our legislation not only provides simple purchase (ie where a person who conveys ownership of a thing in return for a certain price and money), but the law provides for different ways to make a purchase, with reservation of ownership, which is the kind of sale where the seller retains the transfer of ownership of the thing sold until the buyer does not meet all of the purchase, the chain of title, which is known as buying on credit; mixed sale is one where the consideration is covered with the most money, but the other part is given in kind, and so on. That’s why this agreement is of vital importance given that the parties are agreed between the way in which to make the sale (the sale) and this prevents any party fails to comply strictly agreed in the contract, and if not, can be sued for breach of it may result in a payment millionaire damages caused to the party. See contract …

5. Commercial commission contract. In the event it is necessary to require brokers commercial commission contract. This type of contract is essential for SMEs, because it helps in the marketing of our products through qualified or specialized in sales, without having to hire them as employees and thus avoid increasing the social burden for the company payments to IMSS, INFONAVIT, payroll taxes and so on. Thus, the seller simply grant him a commission and give this bill the company for the commissions received, is deductible in the payment of taxes. It is worth mentioning that if you do not have this contract and collaborate with vendors in this mode you can have serious problems, for example, IMSS can argue that the person is your employee and require the payment of all fees from hiring the corresponding fines, amounts that may be highly significant. See contract …

6. Contract services. This type of contract used primarily to hire professional services at a lower cost, without the need to go to people who provide them to our payroll. An example would be hiring someone to clean the office through a company specializing in office cleaning or hire a business consultant to advise us a couple of hours a week. For the same reason mentioned at the end of the previous paragraph and for which I mention below, it is important for all companies enter into contracts for services and thus define the rights and obligations of the parties: that will be the service that quality will at that time carried out and the consideration to be paid for that service. See contract …

7. Confidentiality agreement. Also, because the technology, processes and marketing of goods represent an extremely important asset for companies, and even in many cases account for nearly all of its assets, is essential to have a confidentiality agreement that protects these processes on the assumption that you have obtained the patent or trademark registered with the IMPI. Similarly, in the case of hiring staff and service providers have access to inside information of the company, this contract becomes essential to safeguard the confidentiality of such information and to not jeopardize the secrets of a successful company. … View contract can always turn to professionals Every mercantile business small, medium or large, requires a timely and efficient comprehensive legal advice.

For this reason, if you do not have a legal department within your company, you can always turn to professionals in the field, which will provide the safety and soundness to ensure growth in the domestic and international markets as competitive by the globalization of trade.

A commercial contract refers to a legally binding agreement between the parties by which undertake to do or not do certain things. Contracts may be written or verbal and written in a formal or informal. Most companies hold their written contracts to clarify the terms of the agreement, and often seek legal advice to major contracts. Contracts can cover all commercial aspects as hiring, wages, employee safety, leases, loans, etc..

If one of the parties to a contract does not comply with the agreement made under that contract is deemed to have been a “breach of contract.” In this case, requires that the right to provide a resource that in many cases may involve a judicial system to enforce the contract or otherwise, ask the party concerned to pay compensation for damages caused by breaking the contract.

Generally, the law of contracts are executed by the state in which the agreement was held under the system of common law (customary law) or the Uniform Commercial Code (UCC, for its acronym in English). Under the system of common law, most contracts are regulated by customary law of each particular state, the laws from judicial decisions that become part of the local system. The laws of the Uniform Commercial Code apply to the sale of goods does not regulate the Common Law.

For a company to develop its corporate purpose requires staff to be operated. There are two legal forms of involvement of these personnel, either through an employment contract or through a service contract.
In the case of contract should be governed by the provisions of the Labour Code and other standards. The work contract is very burdensome for the legal obligations that are acquired, such as benefits, fiscal contributions, etc.., Which is why many companies choose to link staff through service contract, as this involves nothing more than the value and conditions are agreed, which is regulated by the civil code.
It is important to note that there are special conditions and characteristics that allow some form of linkage.

For there to be a contract or employment relationship must satisfy three assumptions: subordination, remuneration (salary) and provision of personnel work, and while these budgets den, the tie must necessarily be by contract.

A service contract does not involve the same conditions or requirements of an employment contract, as in the case of a service contract, the obligation is to do something, but not to meet a schedule or having a permanent subordination, although the two cases, obviously no compensation.

It is very common for companies to avoid paying contributions Social Security levies and hire staff for services, but the work and the actual conditions of service development are given make two budgets be considered an employment relationship, because if there subordination, a schedule is met, and so on., can not speak of the provision of services.

This type of contract does not generate employment and social benefits and are held for a period strictly necessary. You can be civil or commercial, depending on the assignment (yes results in a commercial contract will be governed by commercial law, however, the provision of services relating to professions governed by civil law).

On the “contract services”, the Constitutional Court Judgement C-154/97 through, Presiding Judge Hernando Herrera Vergara said that” a contract of service was developed independent activity, which may come from a legal person with which there is the element of labor subordination or dependence involving the power to issue orders in carrying out the contracted work.

Likewise, in a decision of May 16, it was clarified that although neither the Civil Code and the Commercial Code define what be understood as a contract for the Provision of Services, according to the dictionary of the Royal Academy of Language and the traditional concept that has been taken of that, we can say that are those activities in which predominates the exercise of intellect and have been recognized by the state.

Without a doubt, one of the key aspects that should not be overlooked when creating a virtual store for our company is the right choice of payment methods of the products. In short we are making a business, and as in a physical store, each time a customer wishes to purchase a product or service of our company will pay for it. This is why the choice of means of payment is critical because it must respond our possibilities and needs of customers. Keep in mind that the bigger the payment options we offer to consumers, have higher probability of realizing the operation, and thus achieve the customer is satisfied with the transaction and become a regular customer of our organization.

While we must include among the options the possibility that our customer pays the product or service through conventional means of payment such as credit cards, bank transfers and deposits or COD method, the fact is that we can also offer the option of using electronic payments. This kind of method can not only be useful if you work in regard to local or national, but also gives us the ability to bring our brand to a higher level, ie a way to market internationally. It is therefore necessary to have the possibility to use an electronic payment, which now have become one of the most widely used methods the world. Today, faced with the growing need of customers and vendors, there are a variety of alternatives in regard to electronic payment, but not all work the same way and are not valid for the whole the planet.

In this sense, today we can find electronic payment means only operate nationally, as well as others that allow international transactions, which are actually the most commonly used by most companies that have entered the era of globalization. Therefore, when choosing which one will be the electronic payment methods used to carry out business transactions through our store, we carefully evaluate which in principle are most often used, which companies offer more support, as well as browse the policies of receipt and withdrawal from each of the media. No doubt, in regard to electronic payments internationally, currently one of the alternatives Once used and recommended for such transactions is called PayPal, widely spread throughout the world. It also means we can choose to operate nationally, but this severely limits our ability as a company.

It should be noted that the means of payment e offer a unique advantage to strengthen our relationship with the customer, as this type of approach gives the consumer the possibility to easily pay you wish to purchase the product through the Internet.

It is easy to build a memory with your family with a Carlton Pool. Who said that money can’t buy happiness. I agree that money itself can’t give you a deep sense of happiness however money can buy you things that create memories which is really what matters when you are old and reflect on your life. The memories that you create with your friends, family and neighbors will stay with you for years. Create memories with a swimming pool

With a pool in your yard, these types of good times can last all year long, even if you live in an area of the country that has a cold, snowy winter. Pools can be heated, they can be partially covered or they can be built inside of an enclosure. There are many ways to make these memories last the entire year.

According to recent customers, the quality that Carlton Pools demonstrates when they construct a pool is unmatched in the industry. Quality of a swimming pool is more than meets the eye. What you see on the outside is only half of what goes on in the construction of a swimming pool.

Take the construction of a home for example. The home might have a great paint job, high quality brickwork or really nice siding. The shape and location might be very pleasing to the human eye, but that does not necessarily mean that the house if good quality. Even if you look at the same home from the inside, there is still 50% or more of the home that you just won’t ever see because it’s buried in wiring, beams, frames, insulation, plumbing pipes, flooring, etc. A nice looking home might fall apart in a few years and the same analogy can be made with swimming pools. There are a lot of inner workings that are buried that determine a swimming pools true quality.

Product of three decades of experience in professional sales and contact sellers successful consulting and training activities and businesses open, I have compiled the issues that do not consistently reach your goals only with quality but in many cases, exceed widely.

These secrets are valid for those who hold the sale in their daily work as well for sales managers, entrepreneurs and professionals in human resources, since they will find out what needs to meet the profile of each member of your team to achieve successful performance as a summation of each of their individual efforts.

Having a successful professional salesperson is not only productive and very economical for the company, but is your best ally in the success of any business.

Peter Drucker, unchallenged and acknowledged master of Management, has shown in his works and lectures something every reader can verify in their own reality, and refers to the fact that “80% of sales generally produce 20% of vendors.

This may have different readings, but you should not do is move the structure to stay only 20% of your sales team’s star, but address the task of complementing the remaining 80% of the group to reach the performance leaders in their improved performance.

There are aspects that are in the seller as undisputed and substantial part of his personality. That is, this has or does not have, but what it lacks what may become incorporated with different levels of effectiveness and, if this is impossible, only then could discuss the possibility of a replacement. These aspects of personality are the key elements to consider in the selection process.

By delving into them and whether they exist and to what extent they have, will make the best decision at each entry and avoid mistakes that affect the expected return on sales and image of the company, besides reducing the high costs generated by the excessive rotation in the sector.

Other additions relate to the area of knowledge and skills in their activity, which determines-together with the personality traits-a powerful combination for high sales performance management.

Their production depends on the kind of training, good experience in applying knowledge and skills learned, and improvements to them and they have been incorporated in his perfectionist zeal and their managers.

Clarifications made in the case, it’s time to share the ten aspects and features that support your sales success:

1. Love what they do. Enjoy transmitting his vast knowledge and suggestions for the benefit of those who consult them. Upon each contact, this is evident in his joy, his warmth and sympathy, though not to be going through its best staff.

2. Are aware of the advisory role they play. They know that selling pressure is not an unresolved potential buyer, since the only way is when I made the order as a result of his conviction for his actual arguments to satisfy a need or solve their problems with their products or services. To do this, they worry about being updated on the latest in their field, constantly diving in any reliable source that will provide the last thing appeared or will appear in the business. This and only this way, they make every day a more professional respect and opportunities for further consultation.

3. Sold permanently. As a result of both aspects, not only sold in formal interviews. They also do it in the bar at the club and all social events where the opportunities are generated. To which they always carry your bag in your car so in case you need to have business cards, brochures and orders illustrative target to complete all orders.

4. Do not give false steps or leaps into the void. They do not talk too much or argue anything without knowing what they need or what problems have their respondents about their offer. They are masters of the art of asking conveying a sincere interest in listening and understanding the source of their possibilities.

5. Each argument is a partial closure interviewed leads his intense desire of ownership. After achieving the manifestation of their needs or problems, as if by magic, made their arguments always personalized. His claims “to measure” the present case, they provide solutions and satisfaction with expressions ever made in terms of profits.

6. Know how to respond to objections closing turning them into opportunities. Aware of his own in depth, have the response that can turn a simple objection to a closure, or a hard object in a “maybe.” This is a product of constant practice that prevents them from losing and made many sales opportunities.

7. Take every opportunity to realize. Do not leave for tomorrow what you can close today. Hardly get to an interview devoid of leaflets, appropriate information and purchase orders. Nor will pass any positive expression of his interviewees about your company and products not to try to close the sale or closer to a decision.

8. Manage your time well productive. To assess the effect that has a constant time management, avoid making their reports and reports on the times when opportunities are available. Probably made at night or during their short lunches, since at the time to sell: they are selling. They also meet their commitments confirming each of the previously agreed appointments, arriving on time for each one of them, remembering to the unexpected situations can be delayed.

9. Prefer not to close a sale if there is total belief. Know the value of a customer satisfaction or leaflet, on a commission income to close all their future opportunities. Therefore, always ensure his conviction before closing each sale. This feature reinforces its image as advisor on behalf of each interview, ensuring a prestige and a great opportunity to be called when it is determined to buy in the near future or be referred to other links on them.

10. All the months knows how to exceed their goals achieved. If they fail, have only met with them. This is because it has an effective working method that provides a constant and growing portfolio of opportunities (prospecting) to develop business and achieve their sales. A striking feature in shaping their work style and to improve it is to be humble and honest enough to acknowledge their mistakes and correct them promptly before each occasion of failure.

As shown, all these are foundations that are their values to support all its operations.
The absence of one or more of them in each representative did not preclude them sell very well, but it will not be the same as those with all of them and apply.

The most interesting case is that these principles can be inculcated and learned to become part of their lives through reading, training and coaching to continually receive from their managers from the first day of joining the company.

Trying to make a business contract? To close the deal, you’ll need a legal business contract in writing between the parties

1. Summarize the basic terms of your agreement in writing. Before making a business contract, you’ll need final agreement on all the terms. If possible, confirm these terms with the other party by email.

2. Find samples of the relevant business contract online. Depending on the type of business contract, there may be existing templates online. Modify these business contract templates to suit your needs and specific terms.

3. Draft a business contract using a sample agreement from Step 2 or create your own new contract using clear language.

If you have a simple business contract, you may not need a sample agreement–it may be easier to make your own as a letter agreement that is signed by all parties.

4. Include all terms and specific agreements within your business contract. Read the contract. Confirm that you have written about the who, what, when, where, why and how regarding the terms of the deal.

5. Consider “what if” scenarios. Check that you have accounted for non-performance, lateness and default. Discuss any changes or new terms with the other party if applicable.

6. Send the contract to your attorney for review for a large business deal. For big investments such as a house or investment purchase, it’s best to work with an attorney to ensure that your contract complies with the law.

7. Send two originals to the other party with a short cover letter. All parties should initial each page of the agreement and sign and date the last page. Follow up to get the signed contract back quickly. After the other party has initialed and signed the contracts, sign them and send one original back for the other party’s records.

The most important factor to consider when buying a car is the work that will invest in it, in the form of a salary. Generally, it allocates 10% of salary payment for a car loan, and a percentage is always necessary to cover maintenance over to the vehicle’s life.
A used car
For the impatient and less income, second-hand car seems the best option, lower their prisoner, by dealing directly with the owner, payment facilities … but the truth is that a used car will have less life phenomenon useful than a new one, and its maintenance cost will be higher. U

One element to consider when buying a used car is safety: the more recent the model, more secure.

The resale price
A car is not a good investment over the medium term. Never get more than what I pay for it, and the cost merely depreciate every day. So what to invest in more comfortable, improve your audio or appearance, is a waste.
